{"id":109,"date":"2015-03-09T08:23:07","date_gmt":"2015-03-09T08:23:07","guid":{"rendered":"https:\/\/www.1stchoice-formations.co.uk\/blog\/?p=109"},"modified":"2022-08-04T05:10:19","modified_gmt":"2022-08-04T05:10:19","slug":"companies-house-has-the-power-to-strike-off-a-company-or-llp","status":"publish","type":"post","link":"https:\/\/www.1stchoice-formations.co.uk\/blog\/companies-house-has-the-power-to-strike-off-a-company-or-llp\/","title":{"rendered":"Companies House has the power to strike off a company or LLP"},"content":{"rendered":"<div class=\"dsd\">\n<p>The Registrar of Companies can remove (strike off) your <a href=\"https:\/\/www.1stchoice-formations.co.uk\/ltd-or-private-limited-company-formation-in-uk\/\" title=\"limited Company Formation\" target=\"_blank\" rel=\"noopener\">limited company<\/a> or <a href=\"https:\/\/www.1stchoice-formations.co.uk\/uk-limited-liability-partnership-formation\/\" title=\"Limited Liability Partnership (LLP) Company Formation\" target=\"_blank\" rel=\"noopener\">Limited Liability Partnership <\/a>LLP from the Register of Companies and LLPs.<\/p>\n<h2>The Registrar may choose to strike off your company or LLP, in the following circumstances:<\/h2>\n<ul class=\"disc\">\n<li>You have failed to submit your Annual Return and Annual Accounts.<\/li>\n<li>The Registrar\u2019s post to your Company\u2019s <a href=\"\/london-registered-office-service\/\" title=\"London Registered Office Service\" target=\"_blank\" rel=\"noopener\">registered office<\/a> is returned undelivered.<\/li>\n<li>There has been no response to the Registrar\u2019s post to the Company.<\/li>\n<li>It appears that the company has no <a href=\"\/limited-company-directors-and-shareholders\/\" title=\"Limited Company Directors and Shareholders\" target=\"_blank\" rel=\"noopener\">directors<\/a>, or the partnership has no partners.<\/li>\n<\/ul>\n<h2>The Registrar\u2019s procedures:<\/h2>\n<ul class=\"disc\">\n<li>The Registrar will send two formal letters to the company to find out whether it is still operating. He will also send a formal notice of his intention to strike off the company or LLP.<\/li>\n<li>If the Registrar does not receive a response, he will publish the notice in the appropriate Gazette:\n<ul class=\"uldisc\">\n<li>Notices relating to Companies and LLPs registered in England and Wales are published in the London Gazette<\/li>\n<li>Notices relating to Companies and LLPs registered in Scotland are published in the Edinburgh Gazette.<\/li>\n<li>Notices relating to Companies and LLPs registered in Northern Ireland  are published in the Belfast Gazette.<\/li>\n<\/ul>\n<\/li>\n<li>A copy of the notice will also be placed on the Company\u2019s or LLP\u2019s public records at Companies House<\/li>\n<li>An interested third party can write to the registrar and ask him to withdraw the notice. An interested third party could be HMRC, a creditor, or shareholder.  The striking off action will be suspended while the Registrar examines the claim of the third party.<\/li>\n<li>The Registrar will consider any objections he receives, before making a final decision.<\/li>\n<li>If the first notice is not withdrawn, the company or LLP will be struck off.<\/li>\n<\/ul>\n<h3>Bona Vacantia<\/h3>\n<p>The assets of a company that has been dissolved by the Registrar do not have a legal owner. They are known as Bona Vacantia or \u201cvacant goods\u201d. Goods that have no legal owner become the property of the Crown.
