The more usual reasons for wanting to remove a company from the Companies House Register are:<\/p>\n<div class=\"dsd\">\n<ul class=\"number\">\n<li><strong>To get rid of the compliance costs:<\/strong> The annual compliance costs involved in keeping a company or LLP alive and protecting its name can outweigh the benefits. It should be remembered that even a <a href=\"https:\/\/www.1stchoice-formations.co.uk\/blog\/dormant-and-non-trading-limited-companies\/\" title=\" What is Dormant and Non-trading limited companies\">dormant company<\/a> has to file an Annual Return and Dormant Company Accounts. An LLP can never be considered to be dormant.<\/li>\n<li><strong>To avoid late filing fee fines and penalties:<\/strong> Companies House charge penalties when a company\u2019s annual accounts are filed late. The penalties start at \u00a3150 and rise to \u00a33000. These fines apply even if a limited company is dormant, If a company or LLP is dissolved, Companies House will not usually pursue those penalties.<\/li>\n<\/ul>\n<h2>Circumstances in which the Registrar of Companies will accept an application to strike off a company or LLP.<\/h2>\n<p>In order for the directors&#8217; application to strike off a company to be accepted, the following conditions must apply:<\/p>\n<ul class=\"number\">\n<li>The company should not have traded during the 3 months prior to its application, specifically:\n<ul class=\"uldisc\">\n<li>The company must not have traded or otherwise carried on business<\/li>\n<li>The company must not have changed its name<\/li>\n<li>The company must not have disposed of any valuable rights or property.<\/li>\n<\/ul>\n<\/li>\n<li>The company must not have changed its name during the 3 months prior to its application<\/li>\n<li>The Company must not have engaged in any activity other than that which is necessary to conclude its affairs.<\/li>\n<li>The Company cannot make an application to be dissolved if:\n<ul class=\"uldisc\">\n<li>The company is in administration<\/li>\n<li>The company has agreed a voluntary arrangement with its creditors<\/li>\n<li>An application to the court has been made to appoint an administrator<\/li>\n<li>The company is in receivership<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<h2>The procedure for striking off a company is simple.<\/h2>\n<ul class=\"number\">\n<li>Complete form <a href=\"https:\/\/www.gov.uk\/government\/publications\/strike-off-a-company-from-the-register-ds01\" title=\"Dissolution form for LTD\" rel=\"nofollow noopener\" target=\"_blank\">DS01<\/a> and send it to Companies House with a cheque for \u00a310 made out to \u201cCompanies House\u201d. Form <a href=\"https:\/\/www.gov.uk\/government\/uploads\/system\/uploads\/attachment_data\/file\/298292\/LL_DS01_striking_off_application_by_a_limited_liability_partnership_llp.pdf\" title=\"Dissolution form for LLP\" rel=\"nofollow noopener\" target=\"_blank\">LL DS01<\/a> is the form appropriate to LLPs. The application should be signed by:\n<ul class=\"uldisc\">\n<li>The sole director, or<\/li>\n<li>Both directors, if there are two<\/li>\n<li>A majority of directors if there are more than two.<\/li>\n<li>The Designated partners, if an LLP is being dissolved.<\/li>\n<\/ul>\n<\/li>\n<li>Notify all parties involved within 7 days of making the application. In particular;\n<ul class=\"uldisc\">\n<li>Creditors,<\/li>\n<li>Employees,<\/li>\n<li>Shareholders,<\/li>\n<li>Pension managers or trustees, and<\/li>\n<li>Director of the company or Partners in the LLP who did not make the application<\/li>\n<\/ul>\n<\/li>\n<li>Companies House will advertise the application in the relevant Gazette and register it on their website.
