Limited By Guarantee Company (LBG) -Charity

This service is suitable for small charitable organisations, charity start-ups and other not-for-profit organisations such as clubs, sports clubs, associations, schools, universities and voluntary organisations.

Please note: Our service will not give you a registered charity or Charitable Incorporated Organisation (CIO). If you wish your LBG company to be a legally recognised charity you will also have to register your LBG with the Charity Commission after it is registered with Companies House.

LBGs with Charitable objects and provisions.

To be registered with the Charity Commission a company must have gross income in excess of £5000 per annum. However, if a company has a lower income but its objects are charitable and the Articles limit the use of funds and profits to charitable purposes, a company can still receive tax exemptions from HMRC.

This service offers Articles of Association, which you will have to edit. Correctly edited Articles will provide you with a charitable company (but not a registered charity) which will meet HMRCs requirements for tax exemption.

Do not include the word “charity” in your company name.

The Companies Act considers “Charity” to be a sensitive word. Unless you are registered with the Charities Commission, the word cannot be included in the name of your company. Incorporate your company first, and then register with the Charities Commission once you meet their criteria. Once you are a recognised charity, you can simply change the company name.

Articles of Association for an LBG with Charitable objects

Our Articles of Association contain provisions which you will need to edit and are required by the Companies Acts and HMRC This will allow you to receive tax exemptions if your turnover remains below £5000 and allows you not to include the suffix “LTD” or “Limited” in your company name. if a company wishes to exclude “Limited” or “Ltd” from its name and to be considered.Those provisions are:

  • A clause stating the charitable objects of the company
  • A clause stating that its income will be applied to promoting its objects
  • A clause prohibiting a distribution of profits to its members.
  • A clause requiring all the assets that would otherwise be available to its members, to be transferred on its winding up to another body with objects similar to its own
