Limited By Guarantee Company (LBG) -Charity

This service is suitable for small charitable organisations, charity start-ups and other not-for-profit organisations such as clubs, sports clubs, associations, schools, universities and voluntary organisations.

Information for Limited By Guarantee Company -Charity

Exemption from ending the company name with “Limited” or “LTD”.

You will not have to end the name of your company with Limited or “Ltd” if the objects of your company are charitable, see below for more information. After you have selected your options and are ready to provide the details that are necessary to process your order, you will be asked to tick a box requesting the name exemption. When you complete your application, you will also be asked to download our LBG Articles of Association and amend them. Insert the objects of your organisation and upload the edited document. The amended Articles will be submitted electronically, with your application.

Use of the word “Charity” in the company name.

The Companies Act considers “Charity” to be a sensitive word. Unless you are registered with the Charities Commission, the word cannot be included in the name of your company. Incorporate your company first, and then register with the Charities Commission once you meet their criteria. Once you are a recognised charity, you can simply change the company name.

Articles of Association for an LBG with Charitable objects

Our Articles of Association contain provisions required by the Companies Acts if a company wishes to exclude “Limited” or “Ltd” from its name. Those provisions are:

  • A clause stating that its income will be applied to promoting its objects
  • A clause prohibiting a distribution of profits to its members.
  • A clause requiring all the assets that would otherwise be available to its members, to be transferred on its winding up to another body with objects similar to its own
