There is no requirement for any shareholders or officers of a UK company to be resident in the UK or to be UK nationals. However, the company must have a UK address. For this reason, the registered office service below is pre-selected as part of your order.

Companies House issues a certificate of good standing if one is required. The certificate confirms that your company or limited liability partnership has met all its statutory requirements at the date of issue. It takes about five working days for Companies House to issue a certificate.
We have an arrangement with DHL to deliver certificates to all our overseas customers. Using a reliable courier ensures that our documents are signed for when delivered. DHL also provide online tracking to monitor progress.
You must file a confirmation statement at least once every 12 months. The due date is called the ‘confirmation date’, which falls on the anniversary of company formation or the ‘made up’ date of your last annual return.We will do that for you on time.

Add our post box service to your order and we will accept all your post and hold it for you to collect. That includes letters, parcels and signed for items such as registered or recorded mail. Unlike the Royal Mail we are able to accept signed for items from ANY courier source. You may collect or have your mail collected on your behalf. A handling fee of 17p per item of post will also be charged.
Your document will be legalised by the UK Foreign and Commonwealth Office in accordance with the Hague Convention. The process normally takes about 5 working days. Faster options are available, please ask for details. The price is for a single document. Postage to an address in the UK is free. Please contact our support team if you want your documents couriered to a destination outside the UK.
Under the Data Protection (Charges and Information) Regulations 2018, individuals and organisations that process personal data must be registered with and pay a data protection fee to the Information Commissioner's Office (ICO) unless they are exempt. All companies and LLPs registered in the UK are subject to these rules, even if non-Uk residents own them.
If you apply for this service we will need additional information to complete the application to the ICO. We will request this information by emailing you when your company has been registered. When we have your information, we will make your application to the ICO. The process takes about 10 working days.
Once the ICO has accepted your application, we will email your ICO registration number and security code. You can publish your registration on all your media material to show that you take data protection seriously.
Our service includes the £40 registration fee payable to the ICO.
The ICO registartion has to be renewed by you each year.
If you intend to keep your company dormant you will be obliged to file dormant company accounts for each accounting year.
Dormant companies are sometimes required to file corporation tax returns. You can advise HMRC that the company is dormant and submit a "nil" tax return.

This service upgrade guarantees that your company will be formed on the day you place the order, providing you do so by 2 pm on a normal working day. if we receive a request for this service after 2pm, we will endeavour to have your company formed on the same day but it may be too late and your company will be formed the following working day. We must also receive your Proof of ID (if required) no later than 2 pm on the same day. Should we not receive all required information by this time, we will not be able to provide the same-day service.

This service gives you the use of our Central London office as your main address for business correspondence. We will scan your mail and upload it to our Smart Docustore system so that you can access it wherever you are. After 1 month, your post will be securely destroyed unless you require a hard copy .Our scanning service is FREE but limited to 100 items per week. Hard copies of your mail can be forwarded to you for a charge of £3.50+vat+cost of the “signed for” post service.

A company can be formed in the UK by anyone, although directors must be over 16 years of age. To form a UK registered company limited by shares, you will need the following:

As a non-resident owner of a UK company, you may find it difficult to register for VAT if you don’t have proper trading premises in the UK. HMRC does not consider a Registered Office or business/ virtual mail address as a business establishment. Notwithstanding your UK registration, your company will be classified as a “non-established taxable person”.
Although we do not require documents at the time an order is placed, anyone using our registered office service will be asked to supply identification documents once the service has been set up. We will need 1 document providing proof of name; passport or drivers licence etc. and 1 document providing proof of address; utility bill etc. In some circumstances, we will ask you to have the documents notarised.
The U.K. is party to the Hague Convention and can issue Apostilled documents that will be accepted in the other 100+ countries that are signed up to the agreement. An Apostille certificate is issued by the U.K.s Foreign and Commonwealth Office (FCOH) and states that a document is authentic. Not all documents can be apostilled;
Some may first need to be legalised. If you wish a document to be Apostilled, you can order the service at our checkout when you place an order.
Our non-resident clients sometimes ask us to arrange the issue of a Certificate of Incumbency. However, UK Government agencies do not officially recognise the term or issue a document by this name. It is, of course, possible to create such a document and have it notarised, but it will not be issued by a government agency. The nearest alternative is a Certificate of Good Standing.
Certificates of Good Standing are issued by Companies House and confirm that a company’s statutory filings are up to date, and no action is being taken to strike off the company. The Certificate will also confirm the date of Incorporation, the name of the company and the Company number. The Certificate can also include; details of directors; the Registered Office address, the share capital of the company, and details of the subscribers to the memorandum. If you wish to buy a Certificate of Good Standing, it is an option that we make available at checkout when you place an order.
You may need a document Apostilled that has not been issued by a Government Agency. If that is the case, the document will first need to be legalised by a notary or lawyer. We will arrange this; our charge for the Apostille service includes the cost of the notary or lawyer.
The majority of companies formed in the UK use the model Memorandum and Articles of Association contained in the Companies Acts 2006. They are the constitution of the company. One significant feature of the model Memorandum and Articles are the omission of an objects clause. The last Companies Act removed the requirement to include the objects of the company in its constitution. The practice of drafting the objects so widely as to ensure that no conceivable legal activity could possibly be excluded had, for many years, made the clause obsolete.
The omission of an objects clause can cause problems in overseas jurisdictions. Owners who are intending to open a branch office outside the UK often have to supply a copy of the company’s constitution to get permission. Authorities may insist that an objects clause is written into the constitution.
Companies can be formed with Memorandum and Articles of Association that include an objects clause. Clients can ask us to use articles that they have drafted themselves. To include bespoke Articles, simply contact us before placing your order.
The process of forming a company online involves notifying Companies House that the newly formed company will adopt model Articles of Association. Companies House do not have a document they can certify. Clients requiring an official certification of their Articles of Association should supply their own document that can be uploaded with the electronic application to form a company. Companies Hose can then be asked to certify the supplied document.
Companies House splits the UK into 3 jurisdictions; Scotland, Northern Ireland and the joint jurisdiction of England and Wales. The location of your Registered Office determines the jurisdiction of your company. Although you can have places of business in all the jurisdictions, your Registered Office must stay in the jurisdiction of your registration.

Our annual renewal fee for this service is £39+vat for the registered office and £10+vat for the use of the director’s service address for all officers of the company.
